CODESCIENCE NETWORK TECHNOLOGY LIMITED (registered in Hong Kong) (hereinafter referred to as “OKNovel”, “we”, “our”) provides a platform (as defined below) for writers and publishers to upload, distribute, and monetize various literary works (“Works” or “Collections”), as well as to authorize the use of various literary works through other platforms. These Terms of Use, along with all referenced documents and all other operational rules, policies, and procedures that OKNovel may issue from time to time, govern the relationship between OKNovel and users (“Users”, “you”) concerning the OKNovel platform located at the website https://www.codescie.com/, including all subdomains and related sites (collectively referred to as the “Site”), the OKNovel mobile application including the Android mobile application (the “App”), all other platforms for accessing, publishing, or distributing content, and all related services, features, or content provided through any of the aforementioned platforms (collectively referred to as the “Services”) (collectively referred to as the “Platform”). These terms constitute a legally binding agreement between OKNovel and you.

By accessing or using the Platform, you acknowledge that you unconditionally accept these terms and agree to fully comply with them. Please read these terms carefully before using the Platform. If you do not agree to these terms, do not use the Platform, and you do not have permission to access, view, or otherwise use the Platform.

The Platform may contain links or embedded third-party content that OKNovel has not reviewed, including but not limited to other websites and third-party services, for the convenience of visitors, advertising purposes, or other similar functions related to OKNovel's business. The linking or embedding of third-party content by OKNovel does not imply endorsement or approval of any goods, services, products, or other content provided by that third party. OKNovel is not responsible for any third-party content linked to or embedded in the Platform and explicitly disclaims any liability related to any third-party content, including but not limited to the accuracy of the information found on any third-party websites or the quality of goods or services provided.

OKNovel may add, change, or remove any part of these Terms of Use at any time without notice. Changes to these Terms of Use or any provisions posted on this Site will take effect upon posting. Continuing to use this Site after any changes are posted indicates your acceptance of those changes. OKNovel may add, change, terminate, delete, or suspend any other content published on this Site, including Works described or displayed on this Site, temporarily or permanently, without notice and without any liability.Thank you for using OKNovel (hereinafter referred to as “the App”). We value your privacy greatly and wish to inform you how we collect, use, and protect your personal information.

1.User License

1.1 Provided that you fully comply with the Terms and as permitted by law, OKNovel grants you a non-exclusive, non-transferable license to access and use the App and the services it provides solely for the purpose of accessing Works, using the Platform, and other purposes explicitly outlined in this agreement.

1.2 For the avoidance of doubt, these Terms do not transfer our or any third party’s intellectual property rights to you, and all relevant rights, ownership, and interests shall continue to belong to the applicable owners.

2. Registration and Accounts

2.1 Creating an Account: You can access and use the Service without registration. You also have the option to create a personal account on the Service. During registration, you may need to provide us with some information about yourself, such as your email address or other contact information. You agree that the information you provide to us is accurate and that you will keep it accurate and up to date at all times.

2.2 Account Security: You are responsible for protecting the security of your account and password and for restricting access to your account by others. You agree to be responsible for all activities that occur under your account.

2.3 Account Cancellation: You may choose to cancel your account at any time, but please note that you will lose the right to access or use all or part of the Platform's content.

2.4 Account Management Rights: OKNovel has the right to disable, suspend, or terminate your account at any time for any reason, particularly if you fail to comply with relevant terms.

3. Content Policy

3.1 Our content policy (“Content Policy”) sets forth the terms under which OKNovel uses content uploaded by writers and publishers to the platform. Users are responsible for the content they upload and must not infringe on the rights of others or violate laws. OKNovel reserves the right to delete or restrict access to content that violates the policy and will regularly review content to ensure compliance.

3.2 For avoidance of doubt, all rights not expressly granted to OKNovel herein are reserved to you, and OKNovel does not claim any ownership of your content.

4. User Content

4.1 In OKNovel, user comments must adhere to behavioral guidelines, and the posting of malicious content or comments that infringe on the rights of others is prohibited. OKNovel has the right to review and delete inappropriate comments, and users are responsible for the truthfulness and legality of their comments. Comments posted by users may be used by OKNovel for use and promotion within the platform, and OKNovel reserves the right to modify the terms of service at any time while adhering to its privacy policy to protect user information.

4.2 Comments must not, in whole or in part, contain or embody the following content: (a) infringe, violate, or misappropriate any third-party rights, including any copyright, trademark, patent, trade secret, moral right, privacy right, publicity right, or any other intellectual property or proprietary right; (b) slander, defame, libel, or invade the rights of privacy, publicity, or other property rights of any other person; (c) violate any other OKNovel policies or guidelines applicable to your user content; (d) cause OKNovel to violate any laws or regulations.

4.3 Any comments found to violate any of the above terms or content of the agreement may result in the termination or suspension of your account, or we may at our discretion immediately remove the comment from the platform without notice.

4.4 Users can read novels and complete various tasks within OKNovel to earn points. OKNovel will adjust the number of points users earn based on platform operations.

5. Usage Restrictions

5.1 Unless prohibited by applicable law, you may not: (a) copy, distribute, publicly display, or publicly perform the Service; (b) modify the Service; or (c) interfere with or circumvent any functionality of the Service, including any security or access control mechanisms. If applicable law prohibits you from using the Service, you must not use the Service.

5.2 You may not alter or modify the Platform in any way, nor use any other technology or means to access the Platform, unless authorized by OKNovel, including but not limited to using bots, spiders, or other automated means to access the Platform.

6. Additional Services

6.1 Suspension or Termination of Your Access to OKNovel Services

We reserve the right to disable your account at any time, including but not limited to instances where you fail to comply with any provision of these terms, or if activities occurring on your account are deemed by us, in our sole discretion, to potentially damage or affect the Service, infringe or violate any third-party rights, or violate any applicable laws or regulations. Your account name and other identifiers you adopt within OKNovel remain our property, and once your account is terminated or deactivated for any reason, we may disable, reclaim, and reuse these identifiers.

6.2 Violation Handling

a. If the OKNovel platform discovers or receives reports or complaints regarding a user's violation of this agreement, OKNovel reserves the right to delete or block the relevant content at any time without notice. This may include limiting or prohibiting access to all features and disabling accounts until cancellation, with results announced.

b. You understand and agree that OKNovel has the right to impose penalties for violations of relevant laws and regulations or provisions of this agreement, to take appropriate legal action against any violators, and to retain relevant information for departmental reporting, etc. Users shall bear all legal responsibilities arising therefrom.

c. You understand and agree that you are fully responsible for any claims, demands, or losses arising from violations of this agreement or relevant service terms; if the OKNovel platform incurs losses, you shall also provide compensation.

d. You understand and agree to the state of an OKNovel account being disabled:

Account Blocked: All features are disabled.

This state serves as a protective measure by the system. Based on user behavior and data analysis, the system will disable all permanent functions for users with obvious fraudulent and deceptive behaviors. In this state, suspected users cannot log in to the app, and all functions are disabled.

e. You understand and agree to the appeal process for an OKNovel account being disabled:

•The disabling of user accounts is executed by the system, and there may be incorrect disabling. Thus, we grant users the right to appeal for account restoration. Disabled users must provide relevant and valid supporting materials for manual review by our AFF team (Anti-Financial Fraud Department).

•Specifically, the appealing user must provide, for example: OKNovel platform ID number;

•The appealing user must provide personal identification information: a photo of both sides of their ID card. Please ensure that your ID card photo is marked: for OKNovel account appeal only.

•Relevance of supporting materials: The supporting materials provided by the appealing user must adequately prove the manner in which the user uses the APP.

•Validity of the supporting materials: The proof materials provided by the appealing user must stem from data analysis of abnormal points.

•Review timeframe: 15 business days after confirming the validity of the aforementioned materials; Upon approval: The Anti-Fraud and Financial Fraud Team will manually review the information provided by the appealing users. Once approved, the system will restore all functions of the appealing user within 24 hours. If the review fails, fraudulent users will not be able to resume normal use of OKNovel's respective functions, and the platform will no longer accept their appeals.

•The final interpretation rights belong to OKNovel.

7. Disclaimers

7.1 This platform is provided on an “as is,” “as available,” and “with all faults” basis

for the purposes stated in these terms. You must use the platform at your own risk, and it is advisable to exercise caution.

7.2 OKNovel does not guarantee the availability, continuity, uninterrupted service, or error-free operation of the platform and its associated functions, nor does it ensure that the platform is free from any viruses, worms, or other security vulnerabilities. You understand and agree that when using this platform and its related sites or platforms to obtain content or materials, the risk is borne by you, and you will be solely responsible for any property damage (including damage to the computer system or mobile devices connected to the platform) or data loss resulting from using this platform or downloading or using those materials or content.

7.3 OKNovel does not guarantee the availability, delivery, performance, pricing, or timeliness of any works or other intellectual property on the platform. This includes not guaranteeing that future chapters of any work will be released on time, that works will remain available on the platform, or that the pricing of works and services will remain unchanged.

7.4 OKNovel is not responsible for the deletion or failure to save any comments or other information you submit on the platform, and we explicitly do not promise to retain any comments you submit. You are responsible for backing up any comments uploaded to the platform.

7.5 You understand and agree that OKNovel is not liable for any performance failures due to causes beyond its control, including but not limited to natural disasters, fire, explosion, vandalism, terrorism, weather disturbances, national emergencies, riots, wars, labor disputes, supplier failures, shortages, breaches, governmental actions or requests, and service suspensions due to compliance with state or federal laws, rules, or regulations.

8.Limitation of Liability

8.1 Notwithstanding any contrary provisions in this agreement, OKNovel shall not be

liable to you for any direct, indirect, special, incidental, consequential, exemplary, extra-contractual, or punitive damages of any kind, which are in any way related to the Platform or these terms, regardless of the legal theory (including but not limited to contract, tort, personal injury, property damage, negligence, warranty, or strict liability), whether or not OKNovel has been advised of the possibility or probability of such damages, and even if the remedies otherwise available fail of their essential purposes. If you are dissatisfied with the Platform, or with any of these terms, or feel OKNovel has breached these terms, your sole and exclusive remedy is to discontinue using the Platform. This limitation of liability is part of the basis of the bargain between us.8.2 Notwithstanding any contrary provisions in this agreement, if any part of this limitation of liability is found to be invalid or unenforceable for any reason, OKNovel's liability arising out of breach of these terms and/or your use of the Platform will not exceed two hundred dollars ($200.00 USD).

9.Indemnification

9.1 You are responsible for your use of the Platform, and you will defend and indemnify OKNovel and its officers, directors, employees, consultants, affiliates, subsidiaries, and agents (collectively, the “OKNovel Entities”) from and against all claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with: (a) your access to, use of, or alleged use of the Platform; (b) your violation of any portion of these terms, any representation, warranty, or agreement referenced in these terms, or any applicable laws or regulations; (c) your violation of any third-party rights, including any intellectual property or publicity, confidentiality, other property, or privacy rights; or (d) any dispute or issue between you and any third party. We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you (without limiting your indemnification obligations with respect to that matter), and in that case, you agree to cooperate with our defense of that claim.

9.2 OKNovel reserves the right to take over the exclusive defense of claims for which OKNovel is entitled to indemnification, and in such event, you shall provide prompt and reasonable cooperation to OKNovel at your own expense.

10.Promotions

In addition to these terms, promotions made available by OKNovel through the Platform or otherwise may have specific rules that differ from these terms. By participating in a promotion, you agree to and will be subject to those additional terms and conditions, which will be provided to you when a promotion is offered. OKNovel encourages you to review all rules before participating in any promotion. The rules of a specific promotion will take precedence over these terms in the event of any conflict.

11. Infringement of Intellectual Property Rights

11.1 OKNovel respects the intellectual property rights of others and desires to offer a platform that does not contain material that infringes on the intellectual property rights of others. If you believe in good faith that your intellectual property rights have been infringed through use on the Platform, you may notify us by email with the subject line “Notice of Infringement” at: developer@codescie.com, including:

•An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright (or other intellectual property) interest;

•A description of the copyrighted work (or other intellectual property interest) that you claim has been infringed;

•A description specifying the location on the Platform of the material that you claim is infringing;

•Your email address and your mailing address and/or telephone number;

•A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright (or other intellectual property) owner, its agent, or the law; and

•A statement by you made under penalty of perjury that the information in your notice is accurate and that you are the copyright (or other intellectual property) owner or authorized to act on behalf of the copyright (or other intellectual property) owner.

If you believe that a notice of intellectual property infringement has been improperly submitted against you, you may submit a “Counter-Notice of Infringement” to OKNovel, which contains:

•Your physical or electronic signature;

•Identification of the material removed or to which access has been disabled;

•A statement under penalty of perjury that you have a good faith belief that the removal or disablement of the material was a mistake or that the material was misidentified;

•Your full name, your email address, your mailing address, and a statement that you consent to the jurisdiction of the court (a) in the judicial district where your address is located if the address is in Hong Kong, or (b) located in Hong Kong, if your address is located outside Hong Kong, and that you will accept service of process from the complainant submitting the notice or his/her authorized agent.

11.2 Any notice or counter-notice you submit pursuant to the aforementioned must be truthful and must be submitted under penalty of perjury. A false notice or counter-notice may give rise to personal liability. Therefore, you may want to seek the advice of legal counsel before submitting a notice or a counter-notice. Notwithstanding anything to the contrary stated herein, please note that whether or not OKNovel disables access to or removes any materials pursuant to the foregoing, OKNovel may disclose your identity to any third party who has alleged a violation of intellectual property rights hereunder, or supplied us with a counter-notice, as well as disclose the contents of any notice or counter-notice. You acknowledge and agree that any disclosures by us pursuant to the foregoing shall not violate any of your rights, including, without limitation, any rights of privacy that you may have.

12. Governing Law and Dispute Resolution

12.1 You agree and acknowledge that these terms shall be exclusively governed by the laws applicable to contracts entered into and performed in Hong Kong, without regard to any conflict of law principles.

12.2 You and OKNovel agree that any dispute, claim, or controversy arising in connection with these terms or your relationship with OKNovel in any way (whether based on contract, tort, fraud, misrepresentation, or any other legal theory, and regardless of whether claims arise during or after the termination of these terms) will be determined by mandatory binding arbitration.

13. Notices

All legal notices pursuant to these terms must be in writing and sent by email to OKNovel at: developer@codescie.com. By using the Platform, you agree that any legal notice sent to you electronically by OKNovel will satisfy any legal communication or notification requirements. You agree to keep all contact information contained in your account up to date, and we are not responsible if you fail to keep your account or contact information current.
